Tender Offer to Alterra Capital Partners, Inc. (ALT) Stockholders

Please be advised that Genomics, Inc. and Mr. Hector Thomas A. Navasero (the BIDDERS) entered into a Share Purchase Agreement with Conrado Rafael C. Alcantara, Alfonso S. Anggala and Star Alliance Securities Corp. (the SELLERS) to purchase 208.624.801 common shares of the Company, representing approximately 67% of the outstanding stock of the company. In this regard, the Bidders will conduct a mandatory tender offer for the remaining 102,755,499 common shares representing approximately 33% of its outstanding capital stock.


Offering terms are as follows:

Price: P1.74/share
Cross date: October 11, 2016
Settlement date: October 11, 2016
Deadline of submission to FMSBC: October 6, 2016


Any stock transaction tax, brokers commission, PSE fees, SEC fees, and any other fees or costs relating to the sale of the Tender Offer Shares, shall be for the account of the Seller and shall be deducted from the proceeds of the sale.
